These Terms of Service ("Terms") govern access to and use of the websites, applications, and related services offered by Traxiq, Inc. ("Traxiq," "we," "us"). By using the Services, you agree to these Terms.

Agreement
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Services.
Description of services
Traxiq provides software that helps teams analyze codebases, manage product requirements documentation, and related testing workflows. Features, limits, and support levels depend on your subscription tier and any order form or enterprise agreement.
Accounts and access
You are responsible for maintaining the confidentiality of credentials and for activity under your account. You must provide accurate registration information and notify us promptly of unauthorized use.
Acceptable use
You agree not to:
- Violate applicable law or third-party rights;
- Probe, scan, or test the vulnerability of the Services without authorization, or bypass security controls;
- Use the Services to distribute malware, spam, or infringing or unlawful content;
- Reverse engineer the Services except where such restriction is prohibited by law; or
- Resell or sublicense the Services except as expressly permitted in writing.
Your data
You retain rights in data you submit. You grant Traxiq a limited license to host, process, and display that data solely to provide and improve the Services, in accordance with our Privacy Policy and any data processing agreement that applies to you.
Intellectual property
Traxiq and its licensors own the Services, including software, branding, and documentation. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Services during your subscription.
Fees and taxes
Paid plans are billed according to the pricing presented at purchase or in an order form. Fees are non-refundable except where required by law or expressly stated. You are responsible for applicable taxes.
Beta and preview features
We may offer optional beta or preview functionality. Such features are provided "as-is" and may change or end without notice.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO TRAXIQ FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM (OR, IF NO FEES APPLIED, ONE HUNDRED U.S. DOLLARS).
Indemnity
You will defend and indemnify Traxiq against third-party claims arising from your data, your use of the Services in violation of these Terms, or your violation of law.
Suspension and termination
We may suspend or terminate access for material breach, risk to the Services, or non-payment. You may stop using the Services at any time. Provisions that by their nature should survive will survive termination.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
Changes
We may modify these Terms by posting an updated version. If a change is material, we will provide reasonable notice. Continued use after the effective date constitutes acceptance.
